  • Are the unlimited minutes really unlimited? Yes, they are unlimited. However, please note that unlimited minutes are applicable to specific plans such as: AED 325, AED 600 and AED 900 plans.
  • What type of calls can I make with the unlimited national minutes? Unlimited national minutes are valid for calls within the UAE only (to fixed or mobile lines). They are not applicable to roaming.
  • What type of calls can I make with the unlimited international minutes? Unlimited international minutes can be used for international outgoing calls, from the UAE for the covered destinations. They are not applicable for roaming.
  • What destinations can I call with my unlimited international minutes? For BMP 600 and BMP 900 plans, you can use the IDD minutes from the unlimited plans to call any of the 165 destinations in annexure 1. For all other plans, international minutes are applicable to the top 190 destinations. Visit du.ae/idd for the complete list of destinations.
  • As an eligible customer, you can choose to subscribe to the plans with either a 12-month contract or without a contract.
  • For plans with a 12-month contract, if you cancel before the contract ends, you will be charged a foreclosure fee (one monthly charge of your subscribed plan).
  • For plans without a contract, no foreclosure fee will be charged.
  • Do all the plans come with an Internet Calling Pack? All plans above AED 200 will include a free Internet Calling subscription.
  • Roaming benefits are inclusive only on the AED 900 plan. For all other plans, you are required to subscribe to the roaming service and data or voice bundles.
  • Roaming minutes and data benefits can be used in our preferred countries and our roaming partner networks. Visit du.ae/preferredcountries for the full list.
  • Bundles with incoming minutes only cover roaming-call-forward charges. Inter operator termination charges [IOT] are not covered
  • Incoming and outgoing cover both incoming (roaming-call-forward charges) and outgoing calls. Inter operator termination charges [IOT] are not covered.
  • After consuming your plan’s roaming minutes, if any, incoming calls, outgoing calls and data are all charged as per standard rates or Easy Roaming rates, if your Easy Roaming service is active.
  • Roaming minutes’ packages are not built on real-time billing; hence consumption of the benefits cannot be tracked and there will be no usage notification, including on full consumption.
  • Roaming usage does not include Lebanon and in-flight operators.
  • There are some LTE handsets designed to send and receive minor data sessions, even though the mobile data feature is turned off. To avoid these excess data charges, either buy a roaming data bundle or change your device’s network from LTE to 3G
  • Non-preferred networks will have standard tariff set out on our website at du.ae/businessroaming . Please select the country from the dropdown list to check the applicable rates.
  • We may, at a discretion and without notice, remove or modify any preferred roaming countries and operators. We recommend that, prior to travel, you check the current list on du.ae/businessroaming so you are fully aware on which countries we have roaming partners in and who those operators are.
  • What is the charging method? All in-bundle and out-of-bundle charges will be per minute.

  • Can I subscribe to device offers with the Business Mobile Plans? Yes, our device instalment offers are available on top of the Business Mobile Plans. Please contact our sales channels for the latest offers on devices.
  • Can I upgrade or downgrade my plan within the Business Mobile Plans? You can upgrade to a higher rate plan without any foreclosure fees. However, you have to pay the foreclosure fee for the downgrade.
  • Will I still be charged the full monthly fee if my line got suspended within my contract? Yes. Since the plans are associated with a Minimum Term, you will be charged the monthly recurring fee during the suspension.
  • What happens after the Minimum Term is complete? You will continue to enjoy your Business Mobile Plan benefits. If you choose to cancel your line after the end of your Minimum Term, no termination fee will apply on your plan. However, if you still have other active contracts such as a device that has not completed its Minimum Term, then a fee will apply.
  • Can I still get one of the Business Mobile Plans, if I am an existing Business mobile customer? Yes.
  • What is the activation fee? A fee of AED 55 is applicable for the activation of your SIM card.

Du Competitive phone Plans for Business Control

DU’s business control plan is one of their top budget plans for small enterprises in the UAE. Listed below are some of the specifics:

You will receive the following materials for AED 100 per month and a one-time activation charge of AED 55:

For your knowledge, everyone on the Du network in the UAE is eligible for any of the business plans listed above. However, there is a charge for activating three business lines. Furthermore, any plan may be simply activated by visiting the local Du office or their official web page.

The package is valid for one week. Du postpaid weekly data package Du has not yet come up with a weekly postpaid data package.

DU Monthly Data Packages

Du offers prepaid monthly data packages for people who need monthly Du internet packages. Du prepaid monthly internet packages come in many variations. Du also offers postpaid monthly data packages for people who need monthly Du internet packages. Du prepaid monthly data package -  Du Best Monthly Data Pack Plan The plan offers an entire Interne of 160 MBs. To activate this package, all you have to do is dial 135, choose option five, and option three and follow the instructions. If you want to check if the Du prepaid internet package is valid, all you have to do is just SMS ‘balance’ to 1355. Biden-Harris Administration Announces $7 Billion Solar for All Grants to Deliver Residential Solar, Saving Low-Income Americans $350 Million Annually and Advancing Environmental Justice Across America

EPA announces 60 selectees under Greenhouse Gas Reduction Fund grant competition to deliver solar to more than 900,000 low-income and disadvantaged households nationwide through the President’s Investing in America agenda

Washington – Today, April 22, as the Biden-Harris Administration celebrates Earth Day, the U.S. Environmental Protection Agency announced 60 selectees that will receive $7 billion in grant awards through the Solar for All grant competition to deliver residential solar projects to over 900,000 households nationwide. The grant competition is funded by President Biden’s Investing in America agenda through the Inflation Reduction Act, which created EPA’s $27 billion Greenhouse Gas Reduction Fund. The 60 selections under the $7 billion Solar for All program will provide funds to states, territories, Tribal governments, municipalities, and nonprofits across the country to develop long-lasting solar programs that enable low-income and disadvantaged communities to deploy and benefit from distributed residential solar, lowering energy costs for families, creating good-quality jobs in communities that have been left behind, advancing environmental justice and tackling climate change.

“Today we’re delivering on President Biden’s promise that no community is left behind by investing $7 billion in solar energy projects for over 900,000 households in low-income and disadvantaged communities,” said EPA Administrator Michael S. Regan. “The selectees will advance solar energy initiatives across the country, creating hundreds of thousands of good-paying jobs, saving $8 billion in energy costs for families, delivering cleaner air, and combating climate change.” 

“Solar is the cheapest form of electricity—and one of the best ways to lower energy costs for American families,” said John Podesta, Senior Advisor to the President for International Climate Policy. “Today’s announcement of EPA’s Solar for All awards will mean that low-income communities, and not just well-off communities, will feel the cost-saving benefits of solar thanks to this investment.”

“Residential solar electricity leads to reduced monthly utility bills, reduced levels of air pollution in neighborhoods, and ultimately healthier communities, but too often low-income and disadvantaged communities have been left out. Today’s announcement will invest billions to ensure that affordable housing across the U.S. can access solar and increase energy efficiency and climate resilience,” said U.S. Department of Housing and Urban Development (HUD) Acting Secretary Adrianne Todman. “HUD is honored to have played a key role in today’s monumental announcement, which will provide meaningful household savings to households in low-income and disadvantaged communities, reduce both greenhouse gas emissions and energy costs, and deliver electricity during grid outages for low-income households.”

“Sunlight is powering millions of homes across the nation, and we're working hard to ensure Americans everywhere can benefit from this affordable clean energy resource,” said U.S. Secretary of Energy Jennifer M. Granholm. “DOE is proud to work alongside our partners at EPA and across the Federal government to help communities access the limitless energy of the sun to light their homes and power their businesses.”

“The United States can and must lead the world in transforming our energy systems away from fossil fuels,” said U.S. Senator Bernie Sanders (VT). “The Solar for All program – legislation that I successfully introduced – will not only combat the existential threat of climate change by making solar energy available to working class families, it will also substantially lower the electric bills of Americans and create thousands of good-paying jobs. This is a win for the environment, a win for consumers, and a win for the economy.”

EPA estimates that the 60 Solar for All recipients will enable over 900,000 households in low-income and disadvantaged communities to deploy and benefit from distributed solar energy. This $7 billion investment will generate over $350 million in annual savings on electric bills for overburdened households. The program will reduce 30 million metric tons of carbon dioxide equivalent emissions cumulatively, from over four gigawatts of solar energy capacity unlocked for low-income communities over five years. Solar and distributed energy resources help improve electric grid reliability and climate resilience, which is especially important in disadvantaged communities that have long been underserved.

Solar for All will deliver on the Biden-Harris Administration’s commitment to creating high-quality jobs with the free and fair choice to join a union for workers across the United States. This $7 billion investment in clean energy will generate an estimated 200,000 jobs across the country. All selected applicants intend to invest in local, clean energy workforce development programs to expand equitable pathways into family-sustaining jobs for the communities they are designed to serve. At least 35% of selected applicants have already engaged local or national unions, demonstrating how these programs will contribute to the foundation of a clean energy economy built on strong labor standards and inclusive economic opportunity for all American communities.

The Solar for All program also advances President Biden’s Justice40 Initiative , which set the goal that 40% of the overall benefits of certain federal climate, clean energy, affordable and sustainable housing, and other investments flow to disadvantaged communities that are marginalized by underinvestment and overburdened by pollution. All of the funds awarded through the Solar for All program will be invested in low-income and disadvantaged communities. The program will also help meet the President’s goal of achieving a carbon pollution-free power sector by 2035 and net-zero emissions economy by no later than 2050.

Solar for All will expand existing low-income solar programs and launch new ones. The 60 selected applicants will serve households in all 50 states, the District of Columbia, Puerto Rico, and territories, as well as increase access to solar for Tribes. EPA has selected 49 state-level awards totaling approximately $5.5 billion, six awards to serve Tribes totaling over $500 million, and five multistate awards totaling approximately $1 billion. Solar for All will deploy residential solar for households nationwide by not only providing grants and low-cost financing to overcome financial barriers to deployment but also by providing services to communities to overcome other barriers such as siting, permitting, and interconnection. The 60 selected applicants have committed to delivering on the three objectives of the Greenhouse Gas Reduction Fund: reducing climate and air pollution; delivering benefits to low-income and disadvantaged communities; and mobilizing financing to spur additional deployment of affordable solar energy. Solar for All selected applicants are expanding existing low-income solar programs and launching new programs. In at least 25 states and territories nationwide, Solar for All is launching new programs where there has never been a substantial low-income solar program before. In these geographies, Solar for All selected applicants will open new markets for distributed solar by funding new programs that provide grants and low-cost financing for low-income, residential solar.

To date, many of the 60 selected Solar for All applicants have supported low-income and underserved communities in installing innovative residential solar projects. With this new funding, selectees can launch thousands more projects like these throughout every state and territory in the nation:

  • The threat of storms is a major reason Athens, Georgia resident Delmira Jennings and her husband John used selected applicant Capital Good Fund's Georgia BRIGHT leasing program to install a 13-kilowatt solar and 10-kilowatt-hour battery system in February. “Last year, we spent two days without power after what seemed like a mini tornado,” Jennings said. After a recent outage, Jennings noted that she didn't even know she lost power. “The batteries kicked in and all the power items we were using were on battery backup.”
  • Last year, the Northern Cheyenne Tribe, whose successful pilot initiative served as the basis for selected applicant Mandan, Hidatsa, Arikara (MHA) Nation’s Northern Plains Tribal Solar for All program, took major steps toward a clean energy future with the completion of the first phase of the White River Community Solar project. This project will deploy 15 solar systems at the homes of elders while piloting a groundbreaking approach to solar ownership and management that is intended to set an example for Tribes across the nation.
  • Through its existing Solar on Multifamily Affordable Housing (SOMAH) program — a model for equitably providing solar to low-income renters in disadvantaged communities — selected applicant GRID Alternatives’ team in San Diego installed a solar energy system at Trolley Trestle, home to youth transitioning out of the foster care system. Energy cost savings estimated at over $600k over ten years, will be reinvested to provide additional services to those who call Trolley Trestle home, including more job and life skills training.

Review and Selection Process Information

The 60 applicants selected for funding were chosen through a competition review process. This multi-stage process included review from hundreds of experts in climate, power markets, environmental justice, labor, and consumer protection from EPA, Department of Energy, the Department of Housing and Urban Development, Department of Treasury, Department of Agriculture, the Federal Emergency Management Agency, Department of Labor, Department of Defense, Consumer Financial Protection Bureau, and the Department of Energy’s National Labs – all screened through ethics and conflict of interest checks and trained on the program requirements and evaluation criteria. Applications were scored and selected through dozens of review panels and an interagency senior review team.

EPA anticipates that awards to the selected applicants will be finalized in the summer of 2024, and selected applicants will begin funding projects through existing programs and begin expansive community outreach programs to launch new programs in the fall and winter of this year. Selections are contingent on the resolution of all administrative disputes related to the competitions.

Tesla Sets Up a New Showdown Over Elon Musk’s Pay

The electric vehicle maker will ask shareholders to vote again on a multibillion-dollar compensation package that was voided by a judge in January.

Tesla tries again on Musk’s record pay package

Nearly three months ago, a Delaware court voided Elon Musk’s multibillion-dollar pay package that Tesla’s board — and most shareholders — had given him in 2018, contending that the process to decide it was “deeply flawed” and that the company didn’t properly disclose it to investors.

On Wednesday, Tesla said that it would ask shareholders to vote again on that same pay package, now valued at about $47 billion, at its annual meeting on June 13. The company’s board is effectively asking shareholders, now armed with all of the information that was revealed about the negotiations in court, to make the court’s ruling moot.

The vote is likely to set off a bitter battle among investors and governance experts over whether shareholders should provide Musk with the richest pay package in U.S. corporate history. It comes as Tesla faces new challenges, especially slumping sales that have erased billions off its market value in recent months.

The background: In 2018, Tesla came up with a package that would give Musk the right to buy up to 304 million shares at a preset price of $23.34 — if he met a series of increasingly difficult-to-achieve financial milestones. If he didn’t meet them, he would get nothing. At the time, the company was worth $59 billion.

It was the most radical, “skin-in-the game” compensation plan ever devised. This is how Andrew described the compensation arrangement at the time:

If Mr. Musk were somehow to increase the value of Tesla to $650 billion — a figure many experts would contend is laughably impossible and would make Tesla one of the five largest companies in the United States, based on current valuations — his stock award could be worth as much as $55 billion.

About 73 percent of non-Musk shareholders approved the plan in a 2018 vote.

Musk managed to surpass those high hurdles. But in January, a Delaware judge struck down the plan, agreeing with shareholders who had sued to block the payouts because, they said, it was created with the help of overly compliant Tesla directors.

What Tesla is doing now: The company will ask its shareholders to vote yes or no on the pay package again. Here’s the rationale, as laid out in a special board committee’s report included with its proxy filing:

We suggest simply subjecting the original 2018 package to a new shareholder vote, accompanied by expansive disclosure as to the process undertaken and the potential conflicts of interest that were considered at the time.

In other words, if the Delaware judge’s objection to the plan was that shareholders weren’t aware of all of the circumstances behind its creation in 2018, they would be if they voted this time. While Tesla is still appealing that decision, a new shareholder vote on the plan would clear up the matter.

The committee added that four of Tesla’s 10 biggest institutional shareholders, including the money management giant T. Rowe Price, asked the carmaker’s board for a new vote and indicated that they would vote in favor of it again.

Tesla is also making good on Musk’s threat to relocate the company out of Delaware, letting shareholders vote to move its incorporation to Texas. Tesla argues that the plan makes business sense, given the size of its operations in the Lone Star State and that shareholders would have more of a say there.

The Tesla board says the vote is about fairness. Here’s what Robyn Denholm, the carmaker’s chair, wrote in a letter to shareholders on Wednesday:

Because the Delaware Court second-guessed your decision, Elon has not been paid for any of his work for Tesla for the past six years that has helped to generate significant growth and shareholder value. That strikes us — and the many stockholders from whom we already have heard — as fundamentally unfair, and inconsistent with the will of stockholders who voted for it.

Tesla noted that since 2018, Musk hasn’t drawn any compensation, including salary or cash bonuses, despite achieving the board-set hurdles. (That said, he has sold $23 billion worth of stock in 2022 and pledged hundreds of millions of existing shares against personal loans.) Also, perhaps less well understood is that Musk has to keep the shares for five years after he receives them, again aligning his interests with shareholders.

Still, the vote opens up a number of complications. Musk has already demanded more voting control at Tesla. He could argue that if shareholders refuse to sign off on the compensation package, he will devote more of his time — and, perhaps more important, his work on promising technology like artificial intelligence — to his other businesses, like SpaceX or his xAI start-up.

Some Tesla shareholders have been unhappy with Musk’s increasing willingness to make provocative and unpredictable comments on the social media platform X, some of which have alienated customers. And the plaintiffs’ lawyers who brought the case to overturn Musk’s pay package could campaign to persuade investors to block the deal.

If shareholders now have the opportunity to try to save tens of billions of dollars in compensation costs, it’s possible that some might vote against the deal, betting that Musk is already so invested in Tesla that he wouldn’t walk away. That said, Tesla’s board said that it had received unsolicited messages from thousands of shareholders in support of the 2018 pay plan since the judge’s ruling.

HERE’S WHAT’S HAPPENING

President Biden will call for tripling tariffs on Chinese steel. Biden is expected to push for the measures in a meeting with the United Steelworkers union today in Pennsylvania, a top battleground state. The president has previously signaled his opposition to Nippon Steel’s proposed $14.9 billion deal to buy U.S. Steel.

Jay Powell suggests that the Fed may wait to cut interest rates. The central bank’s chair cited recent data showing stubbornly elevated inflation as a reason to delay lowering borrowing costs . Many investors now expect the Fed to start cutting rates in September, as opposed to earlier predictions of June.

United Airlines takes a $200 million charge over the 737 Max 9. The company, which reported an adjusted loss for the first quarter, said it would have been profitable if it weren’t for the grounding of the Boeing jets .

The F.T.C. weighs blocking a big bag deal

The Federal Trade Commission is preparing to sue to block a mega fashion deal, Tapestry’s $8.5 billion takeover of Capri Holdings, which would bring together labels including Versace, Michael Kors and Coach, two people with knowledge of the matter who were not authorized to discuss the deliberations tell DealBook’s Lauren Hirsch.

The F.T.C.’s five commissioners are expected to meet next week to discuss the case, a move that could precede a formal vote on whether to file a lawsuit, the people said. They cautioned that it was still possible that the agency could opt not to sue.

The deal would create an American luxury conglomerate to compete with European powerhouses like LVMH. Executives have said the deal could help grow the brands’ geographic reach and their direct-to-consumer businesses.

But it comes amid a wider slowdown in the luxury business: LVMH reported a drop in first-quarter earnings yesterday, citing economic and geopolitical concerns and a slowdown in China.

The F.T.C. has been scrutinizing the deal for months, even as it was approved by regulators in the European Union and Japan. Investors have increasingly bet against the deal going through: Shares of Capri are down 23 percent this year, while those in Tapestry are up 6 percent.

Monopoly cases in the fashion industry are rare, because there’s no shortage of new labels. “It is the paradigmatic part of the economy where there is ample competition,” Howard Hogan, the chair of the fashion, retail and consumer practice at the law firm Gibson Dunn, told DealBook.

The F.T.C. could argue that putting Michael Kors and Coach under the same roof would limit the need of those brands to compete on price. But Tapestry and Capri could point to the rise of upstart brands like Aupen (which celebrities like Taylor Swift have helped make popular) and Cult Gaia.

The case brings a new angle to the Biden administration’s antitrust efforts. Regulators sometimes introduce competition lawsuits in overlooked industries to prove a point that they are protecting all consumers, as the Justice Department did three decades ago in its failed effort to block Gillette’s takeover of a luxury fountain pen company , according to William Kovacic, a former F.T.C. chair.

But he added that the Tapestry deal was “not a case that has great appeal as a way of protecting the downtrodden.”

Is free trade under threat?

The global economy is on the brink of the “Tepid Twenties,” a period of stable but inflation-sapping growth, the International Monetary Fund has forecast.

But a new warning has emerged this week at the annual I.M.F. and World Bank spring meetings in Washington: the rise in protectionist policies could make things even worse .

Governments introduced more than 2,500 new industrial policies last year, the I.M.F. says . They were mostly intended to protect domestic businesses, but they often mean adding tariffs and subsidies that can have an inflationary effect.

Such measures can squash international growth. The I.M.F. sees global output rising by a lackluster 3.2 percent this year, the same as 2023. But protectionist moves won’t help. “There are different ways of shooting yourself in the foot,” M. Ayhan Kose , the deputy chief economist of the World Bank, told The Times. “This is one way of doing it.”

Jamie Dimon, JPMorgan Chase’s C.E.O., agrees. He warned last week that industrial policies had become so broadly designed as to risk hindering global trade.

Policy may turn more protectionist. Donald Trump, who once labeled himself “tariff man,” has proposed a 10 percent across-the-board tariff on imports and other aggressive measures, if he’s re-elected. E.U. officials are already bracing for a trade fight .

The Biden administration appears to have instigated a wider trend. The U.S. passed bills in 2022 to strengthen its domestic semiconductor industry and the renewable energy sector, after Western governments complained for years about Chinese subsidies for its companies. The European Union responded with its own Green Deal Industrial Plan , and South Korea approved the “ K-Chips Act ” to support its chipmakers.

Guidelines are needed, the I.M.F. argues . Protectionist measures are “only advisable” when they generate clear benefits (such as lower carbon emissions) and when they “do not discriminate against foreign firms.”

Tesla asks shareholders to restore $56B Elon Musk pay package that was voided by Delaware judge

DETROIT (AP) — Tesla is asking shareholders to restore a $56 billion pay package for CEO Elon Musk that was rejected by a Delaware judge this year , and to shift the company’s corporate home to Texas.

The changes, to be voted on by stockholders at a June 13 annual meeting, could be a tougher sell than when it was first approved in 2018. The Austin, Texas, electric vehicle maker is struggling with falling global sales, slowing electric vehicle demand, an aging model lineup and a stock price that has tumbled 37% so far this year.

In January, Chancellor Kathaleen St. Jude McCormick ruled that Musk is not entitled to the landmark stock compensation that was to be granted over 10 years.

Ruling on a lawsuit from a shareholder, she voided the pay package, saying that Musk essentially controlled the board, making the process of enacting the compensation unfair to stakeholders. “Musk had extensive ties with the persons tasked with negotiating on Tesla’s behalf,” she wrote in her ruling.

But in a letter to shareholders released in a regulatory filing on Wednesday, Chairperson Robyn Denholm said that Musk has delivered on the growth it was looking for at the automaker, with Tesla meeting all of the stock value and operational targets in the 2018 package that was approved by shareholders. Shares are up 571% since the pay package began.

“Because the Delaware Court second-guessed your decision, Elon has not been paid for any of his work for Tesla for the past six years that has helped to generate significant growth and stockholder value,” Denholm wrote. “That strikes us — and the many stockholders from whom we already have heard — as fundamentally unfair, and inconsistent with the will of the stockholders who voted for it.”

In the filing, Tesla said it intends to appeal the decision. If shareholders approve the new package, disclosure and procedural deficiencies and breaches of the board’s fiduciary duty detailed by McCormick should be fixed, the filing said.

But Tesla said shareholders may still challenge the ratification vote. Even if it does pass, Tesla said it may not fully resolve the matter and a Delaware court could find the ratification itself is not fair to shareholders.

If shareholders don’t ratify the plan, Tesla said it may need to negotiate a replacement with Musk. That may take a lot of time and expense “in light of the criticism” detailed in the Delaware suit.

Tesla is going the route of ratification, instead of trying to negotiate a new package with Musk, which the company said would likely need to be of similar magnitude to the previous package in order to keep him.

Because it’s trying for ratification instead of a new plan, Tesla said it “did not substantively re-evaluate the amount or term” of the package and did not hire another compensation consultant to weigh in on it.

In the 2018 plan, Musk would not get salary or cash bonuses. Instead he was to receive only stock options, and only if the company met certain thresholds. It would need to grow its total market value by certain amounts, while also hitting targets for revenue and pretax earnings, and other items.

Many CEOs at big companies need to hit targets to get a lot of their possible compensation. That’s to encourage decisions that benefit the company and shareholders at large. But Musk was unusual in having all of his pay dependent on such measures.

When the company’s board drew up the compensation plan, it said it thought the hurdles would be challenging to meet. Some outsiders agreed.

But the shareholder plaintiff in the Delaware suit alleged the company’s proxy wrongly characterized all the milestones that triggered vesting in the stock options as “stretch” goals, even though internal projections indicated that three operational milestones were likely to be achieved within 18 months of the stockholder vote.

The board said it believed in 2018 that “many of Tesla’s prior successes were driven significantly by Mr. Musk’s leadership.” And it wanted to motivate Musk to “devote his time and energy” to the company when he also had interests in other companies.

Erik Gordon, a lawyer and business professor at the University of Michigan, said that since Tesla would still be a Delaware corporation at the time of the vote on the package, shareholders could still challenge it in Delaware courts.

But because Tesla disclosed facts in the proxy about the board’s ties to Musk, he would expect Tesla to win. “If the uninterested shareholders are properly informed and they vote in favor of it, the court actually has nothing to do,” Gordon said. Delaware courts, he said, “want the corporations to disclose and let the shareholders decide.”

Musk may not see much legal benefit from moving Tesla’s corporate home to Texas, because the law governing executive pay is similar to Delaware’s, Gordon said. “There’s no Texas case that tells you if this had happened in Texas you’d have gotten a different result.”

Tesla posted record deliveries of more than 1.8 million electric vehicles worldwide in 2023, but the value its shares has eroded quickly this year as EV sales soften .

The company said it delivered 386,810 vehicles from January through March, nearly 9% fewer than it sold in the same period last year. Future growth is in doubt and it may be a challenge to get shareholders to back a fat pay package in an environment where competition has increased worldwide.

The proxy statement filed with the Securities and Exchange Commission does not address Musk’s demand to own 25% of Tesla shares for him to pursue artificial intelligence and robotics at the company. At present he owns 20.5% of the company.

In January Musk challenged the Tesla board in a post on X, the social media platform he now owns, to come up with a new compensation package. Unless he gets 25%, he wrote that he’d prefer to build products outside of Tesla, apparently with another company.

Wedbush analyst Dan Ives, who is normally bullish on Tesla, said in an interview that the filing doesn’t address multiple issues including Musk’s future compensation.

“It’s the elephant in the room because Musk has threatened over X, and it’s been a massive overhang” for Tesla stock, Ives said.

Musk, he said, needs to commit to being Tesla CEO for three to five years and developing artificial intelligence with the company. When Tesla announces first-quarter earnings next week, Musk needs to spell out growth plans, including the status of the Model 2, a small EV that costs about $25,000, Ives said. Otherwise, dark days lie ahead, he said.

“There’s a feeling like the plane is crashing into the ocean and the board is focused on their own salted peanuts,” he said.

At the time of the Delaware court ruling, Musk’s package was worth more than $55.8 billion, but the stock slide has cut that to $44.9 billion at the close of trading on Friday, Tesla’s filing said.

Starting last year, Tesla has cut prices as much as $20,000 on some models. The price cuts caused used electric vehicle values to drop and clipped Tesla’s profit margins.

This week, Tesla said it was letting about 10% of its workers go , about 14,000 people.

Shares of Tesla Inc. closed down about 1% in Wednesday.

What channels are included with Sling Orange and Sling Blue?

Sling's two main offerings are Sling Orange and Sling Blue. Channels largely overlap between the two plans, but there are a few differences that might push you to choose one over the other.

Sling Orange has 32 channels, including several Disney and ESPN networks you won't find on Sling Blue. Meanwhile, Sling Blue makes up for its lack of Disney and ESPN with up to 42 channels, including a collection of Fox-owned and NBC-owned networks like USA and Bravo. Blue also comes with local NBC, Fox, and ABC networks, but only in select markets .

Each plan is available to stream for a starting price of $40 a month ($45 in some cities), or you can combine the two for a starting price of $55 a month, giving you access to up to 49 channels. Sling also has genre-based add-ons starting at $6 a month. Each add-on offers a mini-bundle of related channels.
